Item 8.01 Other Events.
In connection with the planned separation of Alkermes plc’s (the “Company”) oncology business into Mural Oncology plc (“Mural”), a new, independent, publicly traded company, the Company’s board of directors has set November 6, 2023 as the record date to determine shareholders of the Company eligible to receive the distribution of Mural ordinary shares. No action is required by the Company’s shareholders in order to receive ordinary shares of Mural in the distribution. The record date is subject to completion of review by the U.S. Securities and Exchange Commission (the “SEC”) of Mural’s Registration Statement on Form 10 (the “Form 10”), the SEC declaring the Form 10 effective, and completion of the listing process for Mural to trade on the Nasdaq Global Market.
